Software Licence Terms

These Software Licence Terms are issued pursuant to and form part of the supply Agreement between Advanced Navigation Pty Ltd (ACN 156 101 549) (we, us or our) and you, the person or entity stated in the Work Order, together the Parties and each a Party.

Software

These Software Licence Terms apply to the firmware which is embedded in our Goods (Firmware) and downloadable software which we provide you free of charge with our Goods (Downloadable Software).

Our Goods are embedded with Firmware as per the product page for each of the Goods.

The Downloadable Software available (if any) is available at the AdNav App Store.

Licence

Licence – We grant you and your Personnel a right to use the Firmware and Downloadable Software (which may be suspended or revoked in accordance with these Software Licence Terms) as part of your use and enjoyment of the Goods to which the Firmware and Downloadable Software attaches. This right is not exclusive.

You cannot pass on or transfer to any other person the benefit of this Licence (or part thereof), unless we agree otherwise in writing.

You are responsible for ensuring that your Personnel comply with this Licence and these Software Licence Terms.

Licence Scope

You may invite your Personnel to access and use the Firmware and Downloadable Software  subject to any user limits in the Work Order. 

You are responsible for ensuring that your Personnel comply with these Software Licence Terms and/or the Agreement. 

If applicable to the Downloadable Software, you and your Personnel must keep your information up-to-date, keep usernames and passwords secure and confidential, and notify us if you become aware of, or have reason to suspect, any unauthorised access to the Firmware and Downloadable Software.

As applicable to the Firmware and Downloadable Software, you must not (and you must ensure that your Personnel do not):

  1. interfere with or interrupt the supply of the Firmware and Downloadable Software, or any other person’s access to or use of the Firmware and Downloadable Software;  
  2. circumvent user authentication or security of any of our Firmware and Downloadable Software access or use the Firmware and Downloadable Software in any way that is improper or breaches any Law, infringes any person’s rights (for example, intellectual property rights and privacy rights), or gives rise to any civil or criminal liability;  
  3. introduce any viruses or other malicious software code into the Firmware and Downloadable Software;  
  4. use any unauthorised or modified version of the Firmware and Downloadable Software, including but not limited to for the purpose of building similar or competitive software or for the purpose of obtaining unauthorised access to the Firmware and Downloadable Software;
  5. attempt to access any data or log into any server or account that you are not expressly authorised to access;  
  6. use the Firmware and Downloadable Software in any way that involves service bureau use, outsourcing, renting, reselling, sublicensing, concurrent use of a single user login, or time-sharing;
  7. circumvent user authentication or security of any of our networks, accounts or hosts or those of any third party;
  8. access or use the Firmware and Downloadable Software to transmit, publish or communicate material that is, defamatory, offensive, abusive, indecent, menacing, harassing or unwanted;
  9. share the Firmware and Downloadable Software with a party not authorised to use it; and/or
  10. share the Firmware and Downloadable Software in breach of any Export Control Laws.

Availability of SAAS based Downloadable Software

In respect of any of the Downloadable Software that is SaaS based, we make no guarantees that the Downloadable Software will be available 100% of the time. The Downloadable Software may be disrupted during certain periods, including, for example, as a result of scheduled or emergency maintenance.

Third-Party Reliance

The Firmware and Downloadable Software may interact with, or be reliant on, products or services provided by third-parties. To the maximum extent permitted by Law, we are not liable for disruptions or downtime caused or contributed to by these third-parties. 

Where you engage third parties to operate alongside the Firmware and Downloadable Software (for example, any third-party software systems you wish to integrate with the Firmware and Downloadable Software), those third-parties are independent of us and you are responsible for the goods or services they provide, unless we expressly agree otherwise in the applicable Work Order.

Intellectual Property Rights

You obtain no Intellectual Property Rights in the Firmware and Downloadable Software other than the Licence. 

We may revoke or suspend the Licence at any time if you breach these Software Licence terms or any other provision of our Agreement.

We may use any feedback or suggestions that you give us in respect of the Firmware and Downloadable Software in any manner which we see fit (for example, to develop new features in the Firmware and Downloadable Software), and no benefit will be owed to you as a result of any use by us of your feedback or suggestions.

Updates and Fixes

From time to time we may release updates and fixes to the Firmware and Downloadable Software  (Upgrades).

We agree to grant you free access to these upgrades for a period of 12 months from the date of your purchase of the applicable Goods (Free Upgrade Period).

To upgrade the Firmware and Downloadable Software you will need to manually download the upgrades via our website.  We are not required to install the Upgrades or to provide any services or support in respect of installation of the Upgrades unless we expressly agree to do so under the provision of support-onsite or support-offsite Help Desk Support via a Work Order. You agree to do all things reasonably required to ensure that the Upgrades are promptly and properly installed. No access key will be required for Upgrades for the Free Upgrade Period.

Once the Free Upgrade Period expires, you will need to purchase Upgrades from us as Additional Software under our Additional Software Terms https://www.advancednavigation.com/terms/additional-software-licence-terms/ and if available, it will be available for purchase via the AdNav App Store.

In most cases, Upgrades will not substantially and adversely affect your use and enjoyment of the Goods.  By way of example, a change that would substantially or adversely affect your use and enjoyment of the Goods:

Moving Target

You agree and acknowledge that the Firmware and the Downloadable Software (once installed), is not cloud-based and reflects the point in time of the last update or fix. For this reason, it is important that you comply with your obligations in these Software Licence Terms as to updates and fixes. 

You also agree and acknowledge that while you may have achieved a certain outcome through using our Firmware and Downloadable Software on one day or at a particular time, this does not mean (and we make no promises or representations in relation to), you being able to obtain the same result again (particularly after an update or fix).

Warranty Against Defects

Definitions

Unless otherwise defined in these Software Licence Terms, capitalised terms have the meanings given to them in the applicable Work Order and/or https://www.advancednavigation.com/terms/.

Additional Software Licence Terms Prevail

In the event of any inconsistency or ambiguity between these Software Licence Terms and the Terms, these Software Licence Terms will prevail.
