Additional Software Licence Terms

These Additional Software Licence Terms are issued pursuant to and form part of the supply Agreement between Advanced Navigation Pty Ltd (ACN 156 101 549) (we, us or our) and you, the person or entity stated in the Work Order, together the Parties and each a Party.

These Additional Software Licence Terms apply to our supply of Additional Software to you, as set out in the Agreement and Work Order.

Additional Software

The Additional Software to which these Additional Software Licence Terms apply is: 

  • AdNavOS Apps;
  • updates and fixes to the Firmware software embedded in our Goods after the expiry of the Free Upgrade Period; and
  • updates and fixes to the free Downloadable Software applicable to our Goods after the expiry of the Free Upgrade Period.

Licence

Licence – During the Work Order Term, we grant you and your Personnel a right to use the Additional Software (which may be suspended or revoked in accordance with these Additional Software Licence Terms and/or the Agreement). This right is not exclusive.

You cannot pass on or transfer to any other person the benefit of this Licence (or part thereof), unless we agree otherwise in writing.

You are responsible for ensuring that your Personnel comply with this Licence and these Additional Software Licence Terms.

Licence Scope

You may invite your Personnel to access and use the Additional Software subject to any user limits in the Work Order. 

You are responsible for ensuring that your Personnel comply with these Additional Software Licence Terms and/or the Agreement. 

If applicable to the Additional Software, you and your Personnel must keep your information up-to-date, keep usernames and passwords secure and confidential, and notify us if you become aware of, or have reason to suspect, any unauthorised access to the Additional Software.

As applicable to the Additional Software, you must not (and you must ensure that your Personnel do not):

  1. access or use the Additional Software in any way that is improper or breaches any Law, infringes any person’s rights (for example, intellectual property rights and privacy rights), or gives rise to any civil or criminal liability;  
  2. interfere with or interrupt the supply of the Additional Software, or any other person’s access to or use of the Additional Software;  
  3. introduce any viruses or other malicious software code into the Additional Software;  
  4. use any unauthorised or modified version of the Additional Software, including but not limited to for the purpose of building similar or competitive software or for the purpose of obtaining unauthorised access to the Additional Software;
  5. attempt to access any data or log into any server or account that you are not expressly authorised to access;  
  6. use the Additional Software in any way that involves service bureau use, outsourcing, renting, reselling, sublicensing, concurrent use of a single user login, or time-sharing;
  7. circumvent user authentication or security of any of our networks, accounts or hosts or those of any third party;
  8. access or use the Additional Software to transmit, publish or communicate material that is, defamatory, offensive, abusive, indecent, menacing, harassing or unwanted;
  9. share any Licence key login details for the Additional Software with a party not authorised to use the licence key; and/or
  10. share the Additional Software in breach of any Export Control Laws.

Availability of SAAS based Additional Software

In respect of any of the Additional Software that is SaaS based, we make no guarantees that the Software will be available 100% of the time. The Additional Software may be disrupted during certain periods, including, for example, as a result of scheduled or emergency maintenance. We will try to provide you with reasonable notice, where possible, of any disruptions to your access to the Additional Software.

Third-Party Reliance

The Additional Software may interact with, or be reliant on, products or services provided by third-parties. To the maximum extent permitted by Law, we are not liable for disruptions or downtime caused or contributed to by these third-parties. 

Where you engage third parties to operate alongside the Additional Software (for example, any third-party software systems you wish to integrate with the Software), those third-parties are independent of us and you are responsible for the goods or services they provide, unless we expressly agree otherwise in the applicable Work Order.

Intellectual Property Rights

You obtain no Intellectual Property Rights in the Additional Software other than the Licence. We may revoke or suspend the Licence at any time if you breach these Additional Software Licence terms or any other provision of our Agreement. 

We may use any feedback or suggestions that you give us in respect of the Additional Software in any manner which we see fit (for example, to develop new features in the Additional Software), and no benefit will be owed to you as a result of any use by us of your feedback or suggestions.

Installation

We are not required to install the Additional Software or to provide any services or support in respect of installation of the Additional Software unless we expressly agree to provide support-onsite or support-offsite via a Work Order.

Updates and Fixes

The Additional Software is provided as is. As and when updates and fixes in relation to the Additional Software are developed and become available, we will advise you and you may elect to acquire these under a Work Order for an additional cost.

Moving Target

You agree and acknowledge that once installed, any additional Software that is not SaaS based, is not cloud-based, and reflects the point in time of the last update. 

The Additional Software is provided as is and we make no guarantees as to the availability of updates.

Any updates and fixes to the Additional Software will be available for purchase.

You agree and acknowledge that while you may have achieved a certain outcome through using our Additional Software on one day or at a particular time, this does not mean (and we make no promises or representations in relation to), you being able to obtain the same result again (particularly after an update or fix is made available and you do not elect to purchase it).

Warranty Against Defects

The Additional Software to which the Warranty Against Defects https://www.advancednavigation.com/terms/warranty-against-defects/ applies is specified in your work order.

Definitions

Unless otherwise defined herein, capitalised terms have the meanings given to them in the applicable Work Order and/or https://www.advancednavigation.com/terms/.

Additional Software Terms Prevail

In the event of any inconsistency or ambiguity between these Additional Software Licence Terms and the Terms, these Additional Software Licence Terms will prevail.
