Terms Of Hire

These Terms of Hire are issued pursuant to and (if identified in the Work Order) form part of the supply Agreement between Advanced Navigation Pty Ltd (ACN 156 101 549)  (we, us or our) and you, the person or entity stated in the Work Order, together the Parties and each a Party. 

Hire Goods Terms of Hire

  1. Terms of Hire: We agree to hire out the Hire Goods to you on these Terms of Hire and the Agreement between the Parties. 
  2. Hire Period: The hire period starts when the Hire Goods are delivered to you and/ or you collect/pick up the Hire Goods and ends when you return the Hire Goods to us. 
  3. Delivery and Risk: We are responsible for delivering the Hire Goods to you and we will use reasonable endeavours to deliver the Hire Goods by the time agreed between the Parties in the Work Order. The Hire Goods will pass to you once we have delivered the Hire Goods to the agreed delivery location in the Work Order. 
  4. Delivery Costs: All rental costs are ex works. You will be solely responsible for the costs of delivery which includes transportation costs, insurance costs, special packing costs and any other expenses identified in the Work Order. .
  5. Payment: You must pay the Fees for the Hired Goods as set out in the Work Order.
  6. Security Deposit: You may need to provide a security deposit before taking the Hire Goods if identified in the Work Order. We will refund this deposit when you return the Hire Goods in initial condition, minus any charges for repairs or unpaid hire fees.
  7. Care and Operation: You must use the Hire Goods in the manner intended in accordance with any instructions we give you and you must keep the Hire Goods in good condition. We will charge for any misuse or improper care and for any damage or repairs resulting from negligence or misuse.
  8. Control: You must keep the Hire Goods in your custody and control at all times, and not sublease, rent, sell or otherwise transfer the Hire Goods to any other person.  You must ensure that any person using the Hire Goods is properly qualified or trained to safely do so and not allow anyone to interfere or otherwise tamper with the Hire Goods. You must also not allow any third party to conduct repairs or maintenance on the Hire Goods without our prior written consent.
  9. Loss or Damage: You must pay the replacement value if you lose, steal, or irreparably damage the Hire Goods. You must contact us immediately if there is any damage to or defects in the Hire Goods.
  10. Maintenance and Repair: If you consider that the Hire Goods are defective by reason of improper workmanship or materials and/ or do not confirm to any specifications provided in a Work Order (Defective Hired Goods), you must notify us in writing immediately. Subject to your compliance with clause 11 of the Hire Terms, we will (at our expense and in our sole discretion), repair, replace or substitute with a like product the Defective Hired Goods.  Additionally, we may from time to time (in our sole discretion and at our expense), provide routine maintenance and recalibration for the Hire Goods during the Hire Period. You must not conduct any repairs or maintenance not authorised by us in writing.
  11. Return of Hire Goods: Unless clause 12 of the Hire Terms applies, you must return the Hire Goods by the specified return date in the Work Order. You will be solely responsible for the costs of delivery return which includes transportation costs, insurance costs, special packing costs and any other return delivery expenses identified in the Work Order. We will charge for late returns as identified in the Work Order.
  12. Option To Purchase: At any time during the Hire Period, you may purchase the Hire Goods at the cost identified in the Work Order (Purchase Price) by giving us 10 days’ written notice. If no cost of purchase is identified in the Work Order, you may request to purchase the Hire Goods and we will negotiate in good faith with you an appropriate price for the purchase of the Hire Goods by you. Upon payment of the Purchase Price, risk and title to the Hire Goods will pass to you and these Terms of Hire will terminate with immediate effect.
  13. Title: Unless clause 12 of these Hire Terms applies and you have paid the Purchase Price for the Hired Goods to us, we continue to own the Hire Goods and you acknowledge that you are only hiring the Hire Goods.
  14. Termination: We reserve the right to end the hire and these Terms of Hire at any time if we believe the Hire Goods are at risk or if you are in breach of these Terms of Hire.
  15. Insurance:  You must take out and maintain, for the duration of the Hire Period, insurance sufficient to cover the full replacement value of the Hire Goods in the event of loss or damage including damage during transit to you and return to us.
  16. Liability: Subject to your Consumer Law Rights, our total liability under these Terms of Hire is limited to the Fees paid by you in respect of the Hired Goods. 
  17. Indemnification: You must indemnify and protect us against any claims, damages, or liabilities arising from your use, possession, or operation of the Hire Goods.
  18. Warranty: Subject to your rights under consumer law, we provide the Hire Goods “as is” without any express or implied warranties.
  19. Governing Law: These Terms of Hire are governed by the laws of New South Wales.
  20. Amendments: These Terms of Hire may be amended as per clauses 2.7 and 2.8 of the Terms.
  21. Definitions: The Hire Goods, the Hire Period, the Hired Goods Fee and the late Fee for the Hired Goods will be as set out in the Work Order. All other capitalised terms have the meanings given herein or https://www.advancednavigation.com/terms/.
  22. Terms of Hire Prevail: In the event of any inconsistency or ambiguity between these Terms of Hire and the Terms, the Terms of Hire will prevail.
