Terms Of Hire

These Terms of Hire are issued pursuant to and (if identified in the Work Order) form part of the supply Agreement between Advanced Navigation Pty Ltd (ACN 156 101 549) (we, us or our) and you, the person or entity stated in the Work Order, together the Parties and each a Party.

Hire Goods Terms of Hire

Terms of Hire: We agree to hire out the Hire Goods to you on these Terms of Hire and the Agreement between the Parties.
Hire Period: The hire period starts when the Hire Goods are delivered to you and/ or you collect/pick up the Hire Goods and ends when you return the Hire Goods to us.
Delivery and Risk: We are responsible for delivering the Hire Goods to you and we will use reasonable endeavours to deliver the Hire Goods by the time agreed between the Parties in the Work Order. The Hire Goods will pass to you once we have delivered the Hire Goods to the agreed delivery location in the Work Order.
Delivery Costs: All rental costs are ex works. You will be solely responsible for the costs of delivery which includes transportation costs, insurance costs, special packing costs and any other expenses identified in the Work Order.
Payment: You must pay the Fees for the Hired Goods as set out in the Work Order. Where the Work Order specifies a nil fee, no hire fees will be payable, however you remain responsible for all other costs and obligations under these Terms of Hire including any damage or loss to the Hire Goods.
Security Deposit: You may need to provide a security deposit before taking the Hire Goods if identified in the Work Order. We will refund this deposit when you return the Hire Goods in initial condition, minus any charges for repairs, damage or unpaid hire fees. For the avoidance of doubt, whether or not a security deposit is required in the Work Order, you accept financial responsibility for the total value of the Hire Goods.
Care and Operation: You must use the Hire Goods in the manner intended in accordance with any instructions we give you and you must keep the Hire Goods in good condition. We will charge for any misuse or improper care and for any damage or repairs resulting from negligence or misuse.
Control: You must keep the Hire Goods in your custody and control at all times, and not sublease, rent, sell or otherwise transfer the Hire Goods to any other person. You must ensure that any person using the Hire Goods is properly qualified or trained to safely do so and not allow anyone to interfere or otherwise tamper with the Hire Goods. You must also not allow any third party to conduct repairs or maintenance on the Hire Goods without our prior written consent.
Loss or Damage: You must pay the full replacement value (as specified in the Work Order) if you lose, allow to be stolen, or irreparably damage the Hire Goods. This obligation applies even where the hire was provided at nil cost or for Evaluation Purposes. You must contact us immediately if there is any damage to or defects in the Hire Goods. Your insurance obligations under Clause 16 do not limit your liability under this clause.
Maintenance and Repair: If you consider that the Hire Goods are defective by reason of improper workmanship or materials and/ or do not confirm to any specifications provided in a Work Order (Defective Hired Goods), you must notify us in writing immediately. Subject to your compliance with clause 11 of the Hire Terms, we will (at our expense and in our sole discretion), repair, replace or substitute with a like product the Defective Hired Goods. Additionally, we may from time to time (in our sole discretion and at our expense), provide routine maintenance and recalibration for the Hire Goods during the Hire Period. You must not conduct any repairs or maintenance not authorised by us in writing.
Return of Hire Goods: Unless clause 12 of these Hire Terms applies, you must return the Hire Goods by the specified return date in the Work Order (Return Date). You must:
- Return Confirmation: provide us with confirmation of the return shipment by the conclusion of the Return Date, including if required by us:
  - the name of the carrier/ courier;
  - the tracking number;
  - the date of dispatch;
  - photographic evidence of the packaging and condition of the Hire Goods;
- Shipping Method: not ship the Hire Goods by general post and if identified in the Work Order, must use a trackable carrier/ courier service approved by us;
- Return Costs: bear all costs of return delivery including transportation costs, insurance costs, special packing costs and any other return delivery expenses identified in the Work Order;
- Packaging: return the Hire Goods in their original packaging to prevent damage during transit;
- Return All Items: return all items supplied with the Hire Goods including cables, accessories, software, and documentation.
- If you fail to return all items by the Return Date as above, you agree:
- We may charge for late returns as indicated in the Work Order;
- Late fees will be charged for each day or part thereof that the Hire Goods (or part thereof) are not returned after the Return Date;
- The hire period and your obligations under these Terms of Hire continue until we receive and accept the returned Hire Goods.
- We may contact you to determine the status and location of the Hire Goods;
- We may exercise our rights under Clause 18 (Indemnification) and any failure to return will be deemed a material breach of our Agreement under clause 9 of our linked Terms (www.advancednavigation.com/terms/); and
- After 14 calendar days, we may treat the Hire Goods as lost and charge you the full replacement value under Clause 9.
Option To Purchase: At any time during the Hire Period, you may purchase the Hire Goods from us, by giving us written notice:
- If a purchase price is identified in the Work Order, the Purchase Price is the amount indicated in the Work Order.
- If a purchase price is not identified in the Work Order, the Purchase Price is the advertised price for the relevant Good less any Fees paid for the Hired Goods. This offset amount:
  - if specified in the Work Order, may be subject to a Qualifying Condition;
  - applies only in respect of the hire Fees specified in the Work Order, not to delivery, return shipment, or other ancillary costs or any other Work Order item. If there is no hire Fee, no credits will be given;
  - will be applied as a discount or rebate against the Work Order for the purchase of the Hire Goods;
  - expires at the conclusion of the Hire Period;
  - is non-transferable to other products or services;
  - cannot be applied to purchases made by third parties or related entities without our prior written consent; and
  - is conditional on you not being in breach of these Terms of Hire or the Agreement.
- If a purchase price is not identified in the Work Order and there is no advertised price for the Hired Goods, we will negotiate in good faith with you an appropriate price for the purchase of the Hire Goods by you.
- Any purchase of the Hire Goods will be in accordance with our Terms of Supply for Goods linked here https://www.advancednavigation.com/terms/terms-of-supply-for-goods/ and in respect of firmware embedded in our Goods or Downloadable Software supplied free of charge with our Goods, our Software Licence Terms linked here https://www.advancednavigation.com/terms/software-licence-terms/
- Upon payment of the Purchase Price, risk and title to the Hire Goods will pass to you and these Terms of Hire will terminate with immediate effect.
Evaluation Arrangements: Where the Work Order specifies that the hire is for proof of concept (POC), testing, or evaluation purposes (Evaluation Purpose):
- The hire may be provided at nil cost or reduced cost as specified in the Work Order.
- You must use the Hire Goods solely for the Evaluation Purpose specified in the Work Order.
- You acknowledge and agree that your access to the Hired Goods and any firmware or Downloadable Software accompanying the Hired Goods is provided as a pilot for the Evaluation Purpose only. Accordingly, you agree:
  - Irrespective of the outcome of the Evaluation Purpose, subject to clause 12 of these Hire Terms, no credits or refunds will be given for any Hire Fees paid;
  - The Hired Goods are provided for testing purposes only and will not be used as the sole basis by you for making any operational or business decisions;
  - We may (but are not required to) update the Downloadable Software accompanying the Hired Goods to reflect the Evaluation Purpose;
  - To cooperate with us as reasonably needed, to help us provide, test and improve the Hired Goods and update the Hired Goods to reflect the Evaluation Purpose;
  - We may use any feedback or suggestions that you give us relating to the Hired Goods in any manner which we see fit (for example, to develop new features), and no benefit will be owed to you as a result of any use by us of your feedback or suggestions.
- To the maximum extent permitted by law, the Hired Goods are provided “as is” and we do not warrant that the Hired Goods will achieve the Evaluation Purpose. We exclude any liability arising from or in connection with any Evaluation Purposes. By using the Hired Goods for the Evaluation Purpose, you agree and understand that we have offered access to the Hired Goods with a fair limitation of risk and that we would not have done so without these limitations on liability.
Title: Unless clause 12 of these Hire Terms applies and you have paid the Purchase Price for the Hired Goods to us, we continue to own the Hire Goods and you acknowledge that you are only hiring the Hire Goods.
Termination: We reserve the right to end the hire and these Terms of Hire at any time if we believe the Hire Goods are at risk or if you are in breach of these Terms of Hire.
Insurance: Regardless of whether hire Fees are payable, you must take out and maintain, for the duration of the Hire Period, insurance sufficient to cover the full replacement value of the Hire Goods (as specified in the Work Order) in the event of loss or damage including damage during transit to you and return to us. You must:
- provide us with evidence of such insurance before we deliver the Hire Goods;
- if required by us, ensure the insurance names us as an interested party;
- maintain the insurance for the entire Hire Period including during return transit;
- provide us with updated evidence of insurance if we request it.
Liability: Subject to your Consumer Law Rights, our total liability under these Terms of Hire is limited to the Fees paid by you in respect of the Hired Goods or, where no Fees are payable, to AU$100.
Indemnification: You must indemnify and protect us against any claims, damages, or liabilities arising from your use, possession, or operation of the Hire Goods.
Warranty: Subject to your rights under consumer law, we provide the Hire Goods “as is” without any express or implied warranties.
Governing Law: These Terms of Hire are governed by the laws of New South Wales.
Amendments: These Terms of Hire may be amended as per clauses 2.7 and 2.8 of the Terms.
Definitions: The Hire Goods, the Hire Period, the Hired Goods Fee (which may be nil), the late Fee for the Hired Goods and the Purchase Price (if any) will be as set out in the Work Order. All other capitalised terms have the meanings given herein or https://www.advancednavigation.com/terms/.
Terms of Hire Prevail: In the event of any inconsistency or ambiguity between these Terms of Hire and the Terms, the Terms of Hire will prevail.
