Support-onsite Terms
These support-onsite Terms are issued pursuant to and form part of the supply Agreement between Advanced Navigation Pty Ltd (ACN 156 101 549) (we, us or our) and you, the person or entity stated in the Work Order, together the Parties and each a Party.
support-onsite Services (Inclusions)
If identified in a Work Order, these support-onsite Terms apply to our supply of support-onsite services to you, as set out in the Agreement and Work Order.
Your Obligations
If we provide support-onsite services to you, you must provide us (and our Personnel) with:
- access to your Systems as necessary for us to provide the support-onsite services;
- any information that we reasonably request for us to provide the support-onsite services;
- All equipment and systems must be correctly installed and configured in accordance with our provided instructions prior to our scheduled arrival for us to provide the support-onsite services.
Any failure by you to take any steps required by this section, or any delays in providing any information that we require, may impact on the results or the performance of the support-onsite services to you, and we will not be liable to you for any Liability to the extent caused or contributed to by your failure to take such steps or delays by you.
You agree to pay our additional costs reasonably incurred as a result of you failing to comply with this section.
IP
As per clause 5 of the Terms linked here https://www.advancednavigation.com/terms/, as between the Parties, ownership of all Intellectual Property Rights in any New Materials will vest in us (or our licensors) upon creation, and to the extent that ownership of such Intellectual Property Rights does not automatically vest in us, you hereby assign all such Intellectual Property Rights to us and agree to do all other things necessary to assure our title in such rights.
If we agree to provide you with any specific Deliverables in a Work Order, as between the Parties, ownership of all Intellectual Property Rights in any Deliverables will vest in us unless explicitly stated in your work order.
We may use any feedback or suggestions that you give us in respect of the support-onsite services in any manner which we see fit and no benefit will be owed to you as a result of any use by us of your feedback or suggestions.
Hourly Fee Support Services
Where we have agreed to provide the support-onsite services on an hourly fee basis, we will record your use of the support-onsite services, including any extra services requested by you and charge you on the basis of our time.
Hourly Fee Support Services – Capped Fee
If at any time, the work we record exceeds the support-onsite services we agree to provide as particularised in the applicable Work Order, we will notify you and such excess use will be dealt with as a variation in accordance with as per clause 2.7 of the Terms linked here https://www.advancednavigation.com/terms/.
Premises
If we have agreed as part of a Work Order to send one of our Personnel to your Premises to provide on-site support-onsite services, you agree to:
- co-ordinate, instruct and supervise our Personnel’s performance with respect to the work order on the support-onsite services while they are on your Premises;
- provide a safe environment for our Personnel, while they are on your Premises; and
- have adequate public liability insurance that covers loss or damage to property, and death or personal injury.
Definitions
Unless otherwise defined herein, capitalised terms have the meanings given to them in the applicable Work Order and/or https://www.advancednavigation.com/terms/.
support-onsite Terms Prevail
In the event of any inconsistency or ambiguity between these support-onsite Terms and the Terms, these support-onsite Terms will prevail.
